For retainer agreements, you agree to pay a monthly fee upfront and in advance in exchange for a predetermined set of services. The specific terms of the retainer agreement, including the scope of work, payment terms, and cancellation policy, will be specified in a separate agreement between you and Sinappsus Agency.
Payment for our Services is due as specified in the proposal or retainer agreement. All payments are non-refundable unless otherwise stated in the agreement. Late payments may result in suspension or termination of Services and may be subject to late fees.
All intellectual property rights in the work we create for you, including copyrights, trademarks, and other proprietary rights, will be transferred to you upon full payment of our fees, subject to any limitations or restrictions specified in the proposal or retainer agreement.
We reserve the right to terminate our Services for any reason, including non-payment or breach of these Terms. You may also terminate our Services as specified in the proposal or retainer agreement. Upon termination, any outstanding fees for work performed will become immediately due and payable.
To the maximum extent permitted by law, Sinappsus Agency shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of our Services.
You agree to indemnify and hold harmless Sinappsus Agency and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with your access to or use of our Services.
These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions.
